Licensing Information
Here you will find information regarding how I license my patterns. There will be an example contract as well as all pricing information. Please reach out if you have questions or are interested in licensing a pattern.
Patterns currently available for licensing:
Standard Horse, measures 11 inches Draft Horse, measures 15 inches tall
$250 per 50 units $250 per 50 units
Pony Horse, measures 9 inches Mini Horse, measures 7 inches tall
$200 per 50 units $150 per 50 units
Floppy horse, measures 8 inches when standing
$200 per 50 units
To license a pattern you must read all terms and conditions, sign and pay in full to access the pattern. You must either scan or photograph the signed contract and send me a copy.
Please note that this is a limited production license, all patterns listed here are also available for personal use and are listed on my Etsy for $12.
This limited production license will grant you permission to sell horses made from my patterns, also note you will have to purchase a license for each pattern you want to use. The license will only be active for 1 year starting upon date confirmed payment and signage of contract.
Please know this is aimed toward independent artists or small businesses. Wholesale or mass production using any of my patterns is not allowed. If you need help sourcing materials, or have issues making the pattern, please do reach out!
I try to price my horses based on my skill and time spent making them. As a general rule of thumb, the base price for one finished standard horse plush is $80, but they can range up to $120. Draft horses will range from $130-220, ponies and floppy horses $50-90, and minis $35-60. You can of course price them however you prefer, but you can use this a reference.

GEOMETRIC CHARMER
LIMITED PRODUCTION PATTERN LICENSING AGREEMENT
This Sewing Pattern Licensing Agreement is entered into between [Lisa Baldwin/Geometric Charmer of ZephandCharmer LLC], hereinafter referred to as the "Licensor," and the individual or entity accepting this Agreement, hereinafter referred to as the "Licensee."
1. License Grant
Licensor grants Licensee a non-exclusive, non-transferable license to use the Standard Horse Pattern from Geometric Charmer for up to 50 units provided by Licensor for the purpose of creating sewn items for commercial sale, subject to all the terms and conditions set forth in this Agreement.
2. Ownership
Licensor retains all rights, title, and ownership of the Pattern, including the design and any associated intellectual property rights.

Licensee may not claim or imply ownership of the Pattern or design and may not create derivative works based on the Pattern.

Licensee acknowledges that the License Fee is that displayed on the Website when you enter into this agreement.

Licensee acknowledges that they are a resident of the United States of America.

Licensee acknowledges that they are at least 18 years of age.

You shall pay the License Fee immediately to Lisa Baldwin/Geometric Charmer in accordance with the methods of payment set out on the Website and, upon authorization of such payment and signage of this contract, the Licensed Design shall be available to you for download.
3. Use of the Pattern

Licensee may use the Pattern to create Items for sale, either individually or in a commercial capacity.

Mass Production and Wholesale is strictly prohibited.

Licensee may not distribute, share, sell, or sublicense the digital Pattern itself, whether modified or unmodified, to any third party.

Licensee may only modify the pattern for the purpose of creating markings or color variants on finished products.

Licensee acknowledges that any modifications to the Pattern does not entitle them to claim the Pattern as their own or gives them any rights to the Pattern.

Licensee may not feed the Pattern or any derivatives to any Artificial Intelligence platform.

Licensee may only use the Pattern for 1 year upon date of activation.

Sharing photographs or videos featuring the Pattern on social media platforms is expressly forbidden and constitutes a breach of copyright. Licensee may only share finished products made from the Pattern and not the Pattern itself.
4. Attribution
Licensee agrees to provide appropriate attribution to Licensor when marketing or selling Items created using the Pattern. This attribution must include a reference to the Pattern as being designed by “Geometric Charmer” within product listings, tags, and social media posts.
5. Intellectual Property Rights
3.1. You acknowledge that you obtain no Intellectual Property Rights whatsoever of the Pattern by virtue of this agreement and that all Intellectual Property Rights of the Pattern shall at all times be and remain the property of the Lisa Baldwin, Geometric Charmer of ZephandCharmer LLC.
3.2. You shall immediately notify Lisa Baldwin in writing giving full particulars if any of the following matters come to your attention:
3.2.1. any actual, suspected or threatened infringement of the Intellectual Property Rights of the Pattern;
3.2.2. any claim made or threatened that the Pattern infringes the rights of any third party; or
3.2.3. any other form of attack, charge or claim to which the Intellectual Property Rights in the Pattern is subject.
3.3. In respect of any of the matters listed in clause 3.2, it is acknowledged that:
3.3.1. the Lisa Baldwin shall, at her absolute discretion, decide what action to take, if any;
3.3.2. Lisa Baldwin shall have exclusive control over, and conduct of, all claims and proceedings;
6. Termination

This Agreement may be terminated by either party with written notice in case of a breach of any of its terms and conditions.

Upon termination, Licensee shall cease all use of the Pattern and destroy any copies or derivatives of the Pattern.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of The United States of America.
8. Entire Agreement
This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof.
This is an example contract and does not give anyone rights to the use of any Geometric Charmer Patterns.
